Terms and Conditions

3.1 Eligibility

By using our Platform, you represent and warrant that:

• • You have the legal authority to enter into this Agreement.

3.2 Account Registration

To access certain features (e.g., claiming a venue, saving favorites), you must create an account by providing a valid email address and your name. You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time if we determine that you have violated these Terms and Conditions or engaged in misconduct, including but not limited to posting false or misleading information.

4.1 Claiming and Listing a Venue

When you claim or list a venue:

• • You represent that you own, operate, or are authorized to manage the venue.
• • You agree to provide accurate, complete, and current information.
• • You grant us a non-exclusive, worldwide, royalty-free, perpetual, and transferable license to display, reproduce, and use your content on our Platform and in connection with our business.

4.2 Content Standards

Information provided in venue listings, including names, descriptions, images, and contact details, must be:

• • Accurate and Truthful: Free from false, misleading, or deceptive content.
• • Lawful: Compliant with all applicable laws.
• • Non-Infringing: Must not infringe on copyrights, trademarks, or other intellectual property rights of any third party.

4.3 Venue Removal

We reserve the right to remove or modify venue listings that:

• • Contain false or misleading information.
• • Violate applicable laws or these Terms and Conditions.
• • Include prohibited content (e.g., hate speech, illegal products/services).
• • Cannot be verified as an active business.

6.1 Platform Ownership

All content, features, and functionality on our Platform, including design, text, graphics, logos, and software, are owned by or licensed to Kids Birthday Places and are protected by United States and international intellectual property laws.

6.2 User-Generated Content

You retain ownership of any content you create and submit. By submitting content, you grant us the license described in Section 4.1. You are solely responsible for obtaining any necessary permissions for content you submit.

7.1 "As Is" Basis

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

7.2 Disclaimers

WE DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Platform will be uninterrupted, error-free, or secure.

7.3 Third-Party Information Disclaimer

We do not verify the accuracy of venue information provided by users. We do not guarantee the quality, legality, or appropriateness of any venue or services listed. Your reliance on any information obtained through the Platform is solely at your own risk.

10.1 Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

10.2 Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or relating to these Terms and Conditions or the Platform shall be instituted exclusively in the federal courts of the United States or the courts of the State of Wyoming, in each case located in Cheyenne, Wyoming, and you consent to the personal jurisdiction of such courts.

11.1 Informal Resolution

Before initiating any formal legal action, you agree to attempt to resolve disputes informally by contacting our customer service team.

11.2 Waiver of Jury Trial

YOU HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. Instead, you elect that all claims and disputes shall be resolved by arbitration under Section 11.3.

11.3 Binding Arbitration

Any disputes not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in Cheyenne, Wyoming. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

11.4 Class Action Waiver

YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST US ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and the Company agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

12.1 Entire Agreement

These Terms and Conditions, together with our Privacy Policy, constitute the sole and entire agreement between you and Kids Birthday Places regarding the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

12.2 Severability

If any provision of these Terms and Conditions is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms and Conditions will continue in full force and effect.
